SBA Acquisition Deal Screen

Each deal screen is a paid engagement. The $2,500 fee covers a thorough financing feasibility analysis, including SBA eligibility assessment, earnings underwriting, financeable price range, credit risk identification, and LOI term recommendations.

Three numbers do most of the work. Give me your best read even if the CIM is vague.

Below-market rent from a related landlord is one of the most common hidden add-backs, and one of the best price levers.

Deal Structure

If you already know how you want to fund it, tell me and I will underwrite to it. If not, leave it blank and I will propose one.

Total: —  ·  SBA requires at least 10% of project cost as buyer equity and it cannot be waived.

Get it at closing. Once the SBA lender blankets the assets, adding a line later is hard.

Paid consulting is allowed for up to 24 months. Beyond the transition, the seller cannot stay on as an officer, director, stockholder, or employee.

This is the part a spreadsheet cannot tell me, and it is usually where the negotiation leverage is hiding. Two or three sentences each is plenty.

Documents

The CIM alone is enough to start. Everything else sharpens the answer. PDF, Excel, or Word. If a file is over 8 MB, email it instead.

P&L and balance sheet, three years plus year to date if you have it.
Books-to-tax reconciliation is where most surprises surface.
Industry fit is an underwriting factor, not a formality.
Please do not upload anything containing a Social Security number, date of birth, or account numbers. When we get to an application I will send you a secure folder for those.
